Establishment of S$1 billion multicurrency debt issuance programme and issue of S$100 million notes due 2029 by Wing Tai Holdings Limited
Allen & Gledhill advised The Hongkong and Shanghai Banking Corporation Limited, Singapore Branch (“HSBC Singapore”) on the establishment of a S$1 billion multicurrency debt issuance programme (“Programme”) by Wing Tai Holdings Limited (“Wing Tai”).
HSBC Singapore was appointed arranger, CDP issuing and paying agent, CDP registrar and CDP transfer agent of the Programme.
The Hongkong and Shanghai Banking Corporation (“HSBC”) was appointed non-CDP issuing and paying agent, non-CDP transfer agent, and non-CDP registrar of the Programme.
HSBC Institutional Trust Services (Singapore) Limited (“HSBC Institutional Trust”) was appointed trustee of the Programme.
Allen & Gledhill also advised Wing Tai, HSBC Singapore, DBS Bank Ltd. (“DBS”) and Oversea-Chinese Banking Corporation Limited (“OCBC”) on the issue (“Issue”) of S$100 million in principal amount of 4.38% notes due 2029 as Series 001 under the Programme.
DBS and OCBC were appointed joint global coordinators, while DBS, OCBC and HSBC were appointed joint lead managers and bookrunners for the Issue.
Advising HSBC Singapore (in its capacity as arranger of the Programme), as well as DBS, OCBC, HSBC, and Wing Tai (in relation to the Issue) were Allen & Gledhill Partners Margaret Chin and Sunit Chhabra.
