Zhaoqi’s areas of practice encompass equity and debt capital markets and general corporate and compliance advisory work for Singapore listed companies.

She has advised issuers and underwriters on capital markets transactions including initial public offerings of companies and business trusts, rights issues of equity, debt and warrants, placements, establishments of debt issuance programmes and offerings of straight debt, retail bonds, convertible / exchangeable bonds and perpetual securities. She also advises issuers on post-listing regulatory and compliance matters.

IFLR1000 cites Zhaoqi as a notable practitioner and notes clients’ feedback that she has an “excellent grasp of legal knowledge”, provides “fast, prompt, excellent service” and is “vastly experienced and able to provide appropriate legal advice and solutions” and “able to meet client demands and timelines at short notice”.

Zhaoqi was called to the Singapore Bar in 2009 and joined Allen & Gledhill the same year. She was seconded to the London office of Linklaters LLP in 2010/2011.

Work Highlights

  • Advised the lead managers for Singapore Airlines Limited’s S$8.8 billion rights issue of shares and mandatory convertible bonds in 2020 and S$6.2 billion rights issue of mandatory convertible bonds in 2021. These were Singapore’s largest and second largest ever rights issues, and the 2020 rights issue was also the first rights issue of mandatory convertible bonds and the first concurrent rights issue of shares and convertible bonds by a SGX Mainboard-listed company.
  • Advised OUE Limited on its concurrent offering of S$304.7 million convertible bonds and exchangeable bonds (exchangeable into stapled securities of OUE Hospitality Trust), which is the first concurrent equity-linked offering by a SGX-listed company.
  • Advised Temasek Holdings (Private) Limited on the establishment of its S$5 billion Guaranteed Medium Term Note Programme, which is the first programme by a Singapore issuer which allows for offers to institutional/accredited investors as well as to retail investors pursuant to the seasoning and exempt bond frameworks, and the first offering of S$500 million guaranteed notes under the Programme, which is the first offering of retail bonds undertaken pursuant to the exempt bond framework.
