Pee Hua’s areas of expertise span capital markets and private funds.
She has extensive experience acting for issuers and underwriters on a wide range of high value and complex transactions, from initial public offerings of REITs and business trusts to the re-structuring of listed trusts like the first internalisation of a trust manager. She continues to advise the REIT and business trust issuers after listing on their whole spectrum of offerings, from follow-on equity offerings, acquisitions and debt transactions, including convertible bond issues, to their regulatory and compliance work.
She also has substantial experience in private fund transactions, having advised many major real estate developers and fund managers in the establishment of their private funds, as well as their restructuring exercises and in their investments into private funds.
Proficient in Mandarin, she frequently advises on Chinese transactions as she reads and writes Chinese. Pee Hua joined the Firm in 2005 after she was called to the Singapore Bar and has been a Partner since 2010.
Work Highlights
- Acted as transaction counsel in the IPO and listing on the Singapore Exchange of Cromwell European REIT, the first Pan-European REIT and first Euro denominated listing with 74 properties across Europe of an appraised value of approximately €1,354 million (S$2,148 million).
- Acted for the manager of CapitaLand Retail China Trust and CapitaLand in their joint acquisition of the shopping mall, Rock Square in Guangzhou, China for about RMB3,360.7 million (S$688.9 million), and in the private placement for CapitaLand Retail China Trust to part finance its 51 per cent. stake in the acquisition.
- Acted as transaction counsel in the IPO of BHG Retail REIT, the first pure-play China retail REIT listed on the Singapore Exchange to be sponsored by a China-based group.
