Jia Yu’s practice encompasses investment funds and capital markets with a focus on private funds, Real Estate Investment Trusts (REITs) and business trusts.

Jia Yu has advised fund managers, financial institutions, property developers and professional trustees on the establishment and subsequent closings of private funds, and on fund regulatory matters (including licensing and offering requirements) in Singapore.

In addition, Jia Yu has advised REITs and business trusts on their mergers and acquisitions, joint ventures, fundraisings by way of secondary offerings, and various other regulatory and compliance matters. She has also worked on local and cross-border acquisitions and divestments by listed and non-listed companies and funds.

Jia Yu graduated from the University of Manchester with an LL.B. (Hons) degree in 2015 and was called to the Singapore Bar in 2017.

Work Highlights

  • Acted for the manager of OUE Commercial REIT in the approximately S$1.49 billion merger of OUE Commercial REIT and OUE Hospitality Trust, completed by way of a trust scheme of arrangement.
  • Acted for MTC Japan Investment Private Limited (MTC) in the approximately S$1.26 billion divestment of 79 Robinson Road, Singapore, which is held by Southernwood Property Private Limited, a joint venture company between MTC and CapitaLand Investment Limited.
  • Acted for the manager of CapitaLand China Trust in its approximately S$1 billion acquisition of five business park properties in China.
  • Acted in the establishment of an umbrella fund as a Singapore umbrella variable capital company which invest in multiple strategies.
  • Acted as Singapore counsel in the establishment and subsequent closings of a private pan-Asia infrastructure fund, with a capital commitment of over US$4 billion from global institutional investors.
  • Acted as Singapore counsel to Manulife Investment Management on its investment in GLP Vietnam Development Partners I, L.P., a logistics development fund with an investment capacity of US$1.1 billion.
