International Counsel
Maree Quinn is an international capital markets specialist with extensive multi-jurisdictional experience acting for issuers, underwriters and other stakeholders on a broad range of international capital markets transactions such as Regulation S and 144A debt offerings, hybrid and equity-linked issuances, medium-term note programmes, regulatory capital securities, covered bonds, liability management and general securities advice.
Maree was recognised by The Legal 500 Asia Pacific as a Rising Star for Capital Markets: Equity and Debt Foreign Firms (Singapore) in 2022 and 2023, noting “she is one of the top lawyers for capital markets work with best-in-class execution and client management skills”. She was also a core member of the team advising the underwriters on a transaction that won the Debt and Equity-linked Deal of the Year at the 2021 IFLR Asia-Pacific Awards.
Maree obtained a Bachelor of Laws (First Class Honours) and Bachelor of Commerce from the University of Melbourne. She was admitted as a solicitor in the Supreme Court of Victoria, Australia in 2007, as well as England and Wales in 2022. Prior to joining our Firm, Maree spent over a decade with a magic circle firm in Singapore.
Work Highlights
- International counsel to a leading Singapore bank on a broad range of treasury, funding and regulatory capital transactions under global covered bond and global medium term note programmes as well as private placement transactions.
- Advised the joint lead managers in connection with the issue by Seven Group Holdings Limited of notes exchangeable into ordinary shares of Boral Limited held by Industrial Investment Holdings Pty Limited, and the concurrent on-market reverse bookbuild buyback of Seven Group Holding Limited’s outstanding convertible notes.
- International counsel to the structuring advisers and underwriters of a leading Asian real estate group on a broad range of capital optimisation transactions including medium term note issuances, convertible and exchangeable bond issuances, and liability management exercises.
- Advised the joint lead managers in respect of the issue of Additional Tier 1 perpetual non-cumulative capital securities by PT Bank Negara Indonesia (Persero) Tbk. This was the first Additional Tier 1 perpetual non-cumulative capital security to be issued by an Indonesian bank.
- Advised the structuring adviser and managers in connection with the 144A offering of dual tranches of subordinated hybrid notes issued by RE1 Limited in its capacity as responsible entity and trustee of Scentre Group Trust 2.
- Advised the lead managers on the issuance of zero coupon senior unsecured convertible notes guaranteed by Xero Limited and a concurrent buyback of outstanding convertible notes of Xero Limited. This transaction also included a placement of new ordinary shares, unwind of an existing call spread transaction related to the buyback, as well as entry into new call spread transactions linked to the new convertible notes.
- Advised Jardine Matheson Holdings Limited as guarantor and JMH Company Limited as issuer on the group’s debut capital markets bond offering.
- Advised the arrangers and dealers on the establishment of PT Hutama Karya (Persero)’s global medium term note programme and debut fixed rate senior unsecured notes issuance. This was the first international market transaction by an Indonesian issuer with a direct guarantee from the Indonesian Government.
